DECIMAL sells operating assets of Amadeus division to Xybion

Longueuil, December 1^st, 2009 – DECIMAL announced that it has sold all operating assets of Quebec City based Amadeus Solutions, a leader in the development of enterprise governance, risk, compliance and quality management software solutions, to Xybion Corp.

Amadeus has been partnering with organizations in life sciences, manufacturing, finance and government sectors to manage risk, quality and compliance. The Amadeus’s eQCM^® web-based software platform enables organizations to comply with requirements stemming from FDA, ISO and other regulatory standards (like GxP, FDA 21 CFR Part 11, ISO 9001, ISO14001), financial reporting and governance regulations (Sarbanes-Oxley and Canada Bill 198), and other industry standards and risk-based regulations.

“Initially, we were searching for a partner to help to expand our penetration of the US and European life sciences market with the Amadeus solutions,” remarked Stéphane Gaouette, president of DECIMAL, “During our time of reviewing each other’s capabilities and core competencies, it became evident that Xybion should take a leading role in moving the Amadeus products and services forward.” While Amadeus will be a wholly owned division of Xybion Corporation, DECIMAL will retain a position on the board of directors of Amadeus business to continue to provide guidance and insight for product and market growth.  DECIMAL will also be a partner with Xybion, retaining exclusive rights in Quebec for distribution of Amadeus’ Internal Controls Management (ICM) product.

All of the employees of Amadeus have been retained by Services Informatiques Xybion, a Quebec corporation owned by Xybion. The Quebec City office will function as Xybion’s Center of Excellence for the GRC business.
